Terms and conditions
Last updated: October 9, 2026 · Preliminary version 0.1
Important: these Terms and Conditions are a preliminary version, subject to legal review, and may change once that review is complete. The version in force is always the one published on this page. In case of any discrepancy, the Spanish version prevails.
1. Acceptance of these terms
These Terms and Conditions of Use (the "Terms") govern access to and use of the Dairi IA ONE platform (the "Platform"), offered by [PENDING: exact legal name of DM4 Digital Business], Mexican Taxpayer ID (RFC) [PENDING: RFC], with its address at [PENDING: full address] ("DM4").
By creating an account, checking the acceptance box or using the Platform, the individual or legal entity subscribing (the "Customer") agrees to these Terms, the Privacy Notice and the Data Processing Policy. Anyone accepting on behalf of a company represents that they have authority to bind it. If you do not agree to these Terms, do not use the Platform.
The Platform is intended for businesses and professionals. The Customer represents that it is at least 18 years old and uses the Platform for business or professional purposes.
2. Description of the service
Dairi IA ONE is a software-as-a-service platform that lets the Customer configure and run AI agents together with customer-service and sales-management tools. Depending on the plan, the Platform may include:
- AI agents that answer and place phone calls.
- Automated customer service over WhatsApp and web chat.
- A CRM for contacts and leads, a conversation inbox and tickets.
- Outbound call and WhatsApp campaigns.
- A knowledge base built from files and web pages uploaded by the Customer.
- Read-only connectors to the Customer's systems (databases, APIs, spreadsheets).
- Analytics, reports and AI assistance for drafting queries.
DM4 may improve, change or retire features, while endeavoring not to materially reduce the core features of a plan during a period that has already been paid for.
3. Account and security
- The Customer must provide accurate, complete and current information at sign-up and keep it up to date.
- The Customer is responsible for keeping its credentials confidential and for all activity under its account, including activity by users it invites.
- The Platform offers access roles (owner, administrator, supervisor, agent and read-only). The Customer is responsible for assigning them appropriately and revoking access for anyone who should no longer have it.
- The Customer must promptly notify DM4 of any unauthorized use or security incident it becomes aware of, at [PENDING: support email address].
- Credentials the Customer enters for its connectors are stored encrypted; the Customer should use read-only credentials limited to the information that is strictly necessary.
4. Free trial, plans, payments and invoicing
4.1 Free trial
DM4 offers a 14-day free trial with no credit card required, including up to 30 voice minutes, 100 conversations and up to 2 agents. When the trial ends or its limits are reached, the account is paused until the Customer subscribes to a plan. DM4 may change or discontinue the free trial at any time and may limit it to one per company.
4.2 Plans and pricing
Plans are billed monthly or annually. Prices, usage limits and features for each plan are published at [PENDING: pricing page URL]. Prices are stated in [PENDING: currency (MXN/USD)] and Mexican value-added tax (IVA) is added as applicable. Usage above plan limits may be charged at the published rates [PENDING: confirm overage policy].
4.3 Payments
Card payments are processed by a third-party payment provider (Stripe). DM4 does not store card numbers. The Customer authorizes recurring charges for the selected plan until it cancels. If a charge fails, DM4 may retry it and, if non-payment continues, suspend the account under section 13.
4.4 Invoicing
DM4 will issue a Mexican electronic invoice (CFDI) using the tax information the Customer provides (RFC, legal name, tax regime and ZIP code). The Customer is responsible for the accuracy of this information. Correction requests will be handled in accordance with applicable tax rules.
5. Renewal and cancellation
- Plans renew automatically at the end of each billing period (monthly or annual) unless the Customer cancels before the renewal date.
- The Customer may cancel at any time from the portal. Cancellation takes effect at the end of the paid period, and the Customer may keep using the Platform until then.
- Unless applicable law requires otherwise or a plan expressly states otherwise, fees paid are non-refundable, including for partially used periods [PENDING: confirm refund policy, especially for annual plans].
- After cancellation or suspension, account data is kept for 30 days, during which the Customer may reactivate the account or request an export of its data. Data is then deleted or anonymized, except for information that must be retained by law.
6. Acceptable use
The Customer must use the Platform in compliance with the law, these Terms and the policies of the third-party services involved (for example, WhatsApp Business). The Customer may not use the Platform to:
- Send bulk unsolicited messages or place unsolicited calls (spam), or send marketing communications without the required consent.
- Call or send advertising to numbers registered in PROFECO's Do-Not-Call Registry (REPEP), except as permitted by law.
- Violate WhatsApp Business commerce and messaging policies or the policies of telephone carriers.
- Commit fraud, extortion, phishing or any other deception, including impersonating individuals, companies or authorities.
- Lead people to believe they are speaking with a human when they are interacting with an AI agent, or record calls without disclosure where the law requires it.
- Distribute content that is illegal, defamatory, discriminatory, violent or sexually explicit, or that infringes third-party rights, including intellectual property.
- Process personal data without a legal basis or without an appropriate privacy notice.
- Attempt to breach the Platform's security, access other accounts, reverse engineer the Platform, overload the service, or resell access without DM4's authorization.
DM4 may investigate suspected violations and take the measures described in section 13.
7. Customer responsibility for its content and its customers
The Customer is solely responsible for the content it uploads or generates on the Platform (agent instructions, knowledge base, contact lists, messages, campaigns) and for the data of its own customers and leads. In particular, the Customer must:
- Have its own privacy notice and make it available to its customers.
- Inform people that they are being served by an AI-powered virtual assistant and, where applicable, that the call is being recorded.
- Obtain the consents required for marketing calls and messages, and honor opt-out requests.
- Make sure it has the right to use the contacts it imports and the information it connects to the Platform.
The Customer agrees to indemnify and hold DM4 harmless from claims by third parties or authorities arising from a breach of these obligations.
8. Limitations of artificial intelligence
AI agents and features generate responses automatically using language models and the information the Customer provides. By their nature, they can make mistakes, misunderstand people, omit information or produce inaccurate answers. Accordingly:
- The Customer must review its agents' configuration, test them before using them with its customers, and regularly monitor conversations, summaries and extracted data.
- AI responses are not legal, medical, financial or any other professional advice, and the Customer must not configure agents to provide such advice.
- The Customer is responsible for decisions it makes based on AI output and should provide a way for its customers to reach a human when needed.
9. Service availability
DM4 will make reasonable efforts to keep the Platform available and working, but does not guarantee uninterrupted or error-free service. The Platform depends on infrastructure, telephony, messaging and AI providers whose services may fail for reasons outside DM4's control. Scheduled maintenance may take place and DM4 will try to announce it in advance. No service level agreement (SLA) is offered unless the Customer's plan expressly includes one in writing.
10. Intellectual property
The Platform, its software, design, trademarks (including "Dairi IA ONE"), documentation and other elements are owned by DM4 or its licensors. These Terms grant the Customer a limited, non-exclusive, non-transferable and revocable license to use the Platform during its subscription, solely for its internal business purposes.
The Customer retains ownership of its content and data, and grants DM4 a limited license to host, process and transmit that content only as needed to provide the service. DM4 may use the Customer's suggestions or feedback to improve the Platform without any obligation to compensate the Customer.
11. Personal data and confidentiality
The processing of the Customer's own personal data is governed by the Privacy Notice, and the processing of the Customer's end-customer data, for which DM4 acts as a processor, is governed by the Data Processing Policy. Both documents form part of these Terms.
Each party will keep confidential any non-public information of the other party it learns through the service and use it only for the purposes of this relationship, unless disclosure is required by a competent authority.
12. Third-party services
Some features rely on third-party services (for example, WhatsApp Business, telephone carriers, AI providers and Stripe). Those services may be subject to their own terms, and DM4 is not responsible for their changes, suspensions or decisions, such as a WhatsApp number being blocked for policy violations.
13. Suspension and termination
DM4 may suspend or terminate access to all or part of the Platform if: (a) payment is not made; (b) the Customer breaches these Terms, especially the acceptable use section; (c) there is a risk to the security of the Platform, other customers or third parties; or (d) a competent authority so orders. Except in urgent or high-risk situations, DM4 will try to notify the Customer in advance so it can remedy the issue.
The Customer may end the relationship at any time by cancelling its subscription. Provisions that by their nature should survive (outstanding payments, intellectual property, limitation of liability, confidentiality, governing law) will survive termination.
14. Limitation of liability
To the fullest extent permitted by applicable law:
- The Platform is provided "as is" and "as available," without warranties beyond those expressly stated in these Terms.
- DM4 is not liable for indirect damages, lost profits, lost sales, lost data or lost business opportunities, or for the consequences of AI errors, the Customer's content or failures of third-party services.
- DM4's total liability under these Terms will not exceed the amount actually paid by the Customer in the [PENDING: confirm liability cap; proposed: 12 months] preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for willful misconduct.
15. Changes to these terms
DM4 may amend these Terms. Changes will be posted on this page and, when material, notified to the registered email address or in the portal at least [PENDING: number of days' notice, e.g. 15] calendar days in advance. Continued use of the Platform after the changes take effect constitutes acceptance; if the Customer does not agree, it may cancel its subscription.
16. Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States. The parties submit to the jurisdiction of the competent courts of Mexico City [PENDING: confirm jurisdiction if a different one is preferred] and waive any other venue that may apply by reason of their present or future domicile, without prejudice to any rights granted by consumer protection laws where applicable.
